Terms and Conditions
1. Acceptance of Terms
By registering for or using the Eliza AI Receptionist service ("Eliza", "the Service", "we", "us"), you ("Business User") agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service.
These Terms apply to the Eliza web dashboard, the telephone-answering AI service, and all associated APIs and integrations.
2. Description of Service
Eliza provides an AI-powered telephone receptionist that answers inbound calls on behalf of a registered business, conducts natural-language conversations with callers, and creates, modifies, or cancels appointments in a built-in calendar. The Service includes a web dashboard for configuration and monitoring.
The Service is provided on an "as available" basis. We do not guarantee uninterrupted availability and are not liable for outages caused by third-party infrastructure (Twilio, Google, cloud hosting providers).
3. Account Registration
To use Eliza you must create an account with a valid email address and password. You are responsible for maintaining the security of your credentials. You must notify us immediately at info@baum.ro if you suspect unauthorised access to your account.
Each account is associated with one business. You may not share accounts between businesses or resell access to the Service without our written permission.
4. Subscription, Billing and Cancellation
Eliza is a paid monthly subscription. Three plans — Basic, Pro and Business — differ in how many calls are included each day. Current prices are shown before you pay, at checkout.
If your first subscription is on the Basic plan, the first month is charged at a reduced introductory rate and the standard rate applies from the second month onwards. Pro and Business are charged at their standard rate from the start.
Subscriptions renew automatically each month until you cancel. Payment is taken by Stripe using the method you provided. If a payment fails or a subscription lapses, Eliza stops answering your calls until it is put right.
Each plan includes a daily call allowance. What happens once it is used up is your choice, in Settings:
- No overage (the default) — the line stops answering for the rest of your business's local day and resumes the next morning.
- Prepaid credit — further calls are charged against a balance you have topped up in advance.
- Invoiced — further calls are added to your next subscription invoice, up to a monthly cap that you set.
You can cancel at any time from the Account page. Your plan keeps running until the end of the period you have already paid for, and monthly charges are not refunded pro rata. Statutory rights that cannot be excluded are unaffected.
Your telephone number is provisioned and paid for as part of the subscription. If you cancel and remain unsubscribed for an extended period the number may be released and cannot be recovered; subscribing again assigns a new one.
5. Acceptable Use
You agree not to use Eliza to:
- Conduct or facilitate any illegal activity
- Deceive callers about the nature of the service in ways that violate applicable consumer protection law
- Harass, mislead, or defraud callers
- Suppress, bypass, or attempt to circumvent the notice Eliza gives every caller about how their data is used
- Overload, probe, or attack the Eliza platform or its infrastructure
- Use the Service for any purpose other than operating a legitimate appointment-based business
We reserve the right to suspend or terminate accounts that violate these conditions without notice.
6. Third-Party Services
Eliza relies on Twilio (telephony and SMS), Google Gemini (AI voice processing), OpenAI (call summaries, and voice processing where your account has been given that option) and Stripe (payments) to operate. These providers act as our subprocessors, and their handling of data is governed by their own terms and privacy policies. We are not responsible for changes, outages, or data handling by these third parties. The full list, with links, is in Section 5 of the Privacy Policy.
We provision and manage the telephone number and underlying infrastructure on your behalf as part of your subscription; you do not need your own Twilio or Google account for the Service to function.
7. Data and Privacy
Our collection and use of personal data is described in the Privacy Policy, which forms part of these Terms. By using Eliza you also accept the Privacy Policy.
As a Business User, you are a data controller for the personal data of your callers. You are responsible for ensuring that your use of Eliza complies with applicable data protection laws, including GDPR where applicable. Eliza's built-in consent mechanism assists with this obligation but does not substitute for your own legal compliance review.
For administration purposes we hold technical access to the database in which your data is stored, so that we can operate, back up, copy, and migrate it. We do not access your database's contents or the information in it — including your customers' personal data — other than where it is strictly necessary to diagnose or repair a fault, or where we are legally required to. We will only create, edit, or remove records in your database following a direct written request from you and with the explicit permission of the account owner; we never alter your data on our own initiative.
Personal data is deleted automatically once it is no longer needed: appointment details are stripped of personal information 30 days after the appointment, phone-book entries and call logs are removed after 180 days, and all data belonging to a deleted account is permanently erased 30 days after deletion.
8. Intellectual Property
All software, design, and content comprising the Eliza platform are owned by us or our licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. You may not copy, reverse-engineer, or create derivative works from any part of the platform.
Your business data (staff, services, appointment records) remains yours. We claim no ownership over it.
9. Limitation of Liability
To the fullest extent permitted by law, Eliza and its operators are not liable for:
- Lost bookings or revenue resulting from service outages or AI errors
- Misunderstandings between the AI and a caller
- Actions taken by our third-party subprocessors (Twilio, Google) that affect call quality or data
- Any indirect, incidental, or consequential damages arising from use of the Service
Our total liability to you for any claim shall not exceed the amount you paid for the Service in the 30 days preceding the claim.
10. Service Changes and Termination
We may update, modify, or discontinue features of the Service at any time. We will endeavour to give reasonable notice of significant changes via the email address on your account.
You may close your account at any time from the Account page. Closing it schedules permanent erasure 30 days later and shows you the exact date: nothing stops in the meantime, the service keeps working, and you can cancel the request at any point before that date. An active subscription must be cancelled first, and any outstanding pay-per-call charges settled, because closing the account means there will be no further invoice to add them to. We may terminate your account for breach of these Terms. Upon termination, your data will be handled in accordance with the Privacy Policy.
11. Changes to These Terms
We may update these Terms from time to time. The current version is always available at /terms. Continued use of the Service after an update constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by the laws of Romania, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Romania, unless mandatory local law in your jurisdiction provides otherwise.
